1. Agreement to Terms

3. Professional Standards

All services provided by MASCA are rendered in accordance with:

  • UAE federal and local laws and regulations
  • International Financial Reporting Standards (IFRS)
  • International Standards on Auditing (ISA)
  • Professional ethics and conduct guidelines for chartered accountants
  • Applicable industry-specific regulations

4. Client Responsibilities

Clients engaging our services agree to:

  • Provide accurate, complete, and timely information required for service delivery
  • Grant necessary access to records, documents, and personnel
  • Make timely decisions and provide approvals as requested
  • Pay all fees and expenses as agreed in the engagement letter
  • Comply with all applicable laws and regulations
  • Maintain confidentiality of sensitive information shared by MASCA

5. Engagement and Fees

5.1 Engagement Letters

Each professional engagement will be governed by a separate engagement letter that outlines the scope of work, deliverables, timeline, fees, and other specific terms.

5.2 Fees and Payment

Fees for our services will be specified in the engagement letter and may be based on:

  • Fixed fee arrangements
  • Time-based billing (hourly or daily rates)
  • Percentage of transaction value
  • Retainer arrangements

Payment terms will be specified in each engagement letter. Late payments may be subject to interest charges as permitted by UAE law.

5.3 Additional Costs

Clients may be responsible for out-of-pocket expenses including travel, accommodation, government fees, and third-party costs incurred in providing services.

6. Confidentiality

MASCA maintains strict confidentiality standards:

  • All client information is treated as confidential
  • Information is used solely for providing professional services
  • Disclosure is made only with client consent or as required by law
  • Confidentiality obligations continue after engagement termination
  • Staff are bound by professional confidentiality requirements

7. Intellectual Property

7.1 Our Property

All methodologies, templates, tools, reports, and deliverables created by MASCA remain our intellectual property unless otherwise agreed in writing.

7.2 Client Data

Clients retain ownership of their data and information provided to us. We use such information solely for providing agreed services.

7.3 Website Content

All content on our website, including text, graphics, logos, and images, is protected by copyright and other intellectual property laws.

8. Limitation of Liability

To the fullest extent permitted by UAE law:

  • Our liability for any claim arising from our services is limited to the fees paid for the specific engagement
  • We are not liable for indirect, consequential, or punitive damages
  • We are not liable for losses arising from client's reliance on incomplete or inaccurate information provided by the client
  • We are not liable for third-party actions or omissions
  • Claims must be brought within one year of the alleged breach

9. Professional Independence

MASCA maintains professional independence as required by auditing and accounting standards. We may decline engagements or terminate existing engagements if independence requirements cannot be met.

10. Termination

10.1 By Client

Clients may terminate an engagement by providing written notice. Clients remain responsible for fees for work performed up to the termination date.

10.2 By MASCA

We may terminate an engagement if:

  • Client fails to provide required information or cooperation
  • Client fails to make timely fee payments
  • Professional independence is compromised
  • Continuation would violate professional standards or laws
  • Client engages in fraudulent or illegal activities

11. Dispute Resolution

11.1 Negotiation

Parties agree to first attempt to resolve disputes through good-faith negotiation.

11.2 Mediation

If negotiation fails, parties agree to attempt mediation before pursuing litigation.

11.3 Arbitration and Litigation

Unresolved disputes shall be subject to arbitration or litigation in Dubai, UAE, in accordance with UAE laws.

12. Indemnification

Clients agree to indemnify and hold MASCA harmless from claims, losses, or damages arising from:

  • Inaccurate or incomplete information provided by the client
  • Client's violation of laws or regulations
  • Client's failure to follow our professional advice
  • Third-party claims related to client's business operations

13. Data Protection

Our collection, use, and protection of personal data is governed by our Privacy Policy. By using our services, you consent to such processing in accordance with the Privacy Policy.

14. Website Use

14.1 Permitted Use
